Terms of service

These terms govern your use of Foreman. By creating an account or using the service you agree to them. If you do not agree, do not use the service.
1. Who we are
Foreman is operated by Luke Pledger, a sole trader trading as “Foreman” from the United Kingdom. References to “we”, “us” and “Foreman” mean the operator. References to “you” mean the electrician who has signed up to use the service.

2. What Foreman is
Foreman is an app-based service (sold as “Modyx”) for electricians in the United Kingdom. You capture the inspection on site — by voice, photo, or text — and Foreman returns AI-drafted documents as PDFs: EICR observation schedules and certificates, Electrical Installation Certificates (EICs), and Minor Works certificates, ready for your review and signature.
Drafts, not certificates. Everything Foreman produces is a draft for review by the qualified person. Foreman does not inspect, test, certify, or sign any installation, and it is not a certification body. The electrician who reviews and issues a document remains the duty-holder under BS 7671 and is solely responsible for the accuracy, the observation codes and classifications, and the certification of all content before it is issued. You must check every line before signing or issuing; by issuing a document you confirm it reflects your own professional judgement and inspection. See clause 12 (Liability) below.
3. Eligibility
You must be at least 18 years old, operating a legitimate electrical business in the United Kingdom, and entitled to enter into a binding contract. You must hold the qualifications and registrations required to sign and issue the type of documents you draft using Foreman.
4. Your account
Your account is identified by the mobile number and email address you sign up with. You are responsible for keeping your device and login secure and for everything that happens on your Foreman account. If you believe someone else has access to your account, contact us immediately at hello@modyx.co. One account per tradesperson.
5. Subscription and payment
- Price. Modyx is sold as a monthly subscription of £39 per month, with no minimum term. The current price is shown on modyx.co and is confirmed to you before any payment is taken.
- Your card is stored at sign-up, not charged. We collect and store your payment details when you create your account. No payment is taken on that day.
- Free allowance. Your first 5 certificates and your first 10 quotes or invoices are provided free of charge. Nothing is withheld while the allowance lasts: each document is delivered as the finished, issuable PDF, on the same terms as a paid one.
- When the subscription begins. The subscription begins, and your card is charged for the first time, when either allowance is exhausted— on the certificate after your fifth, or on the quote or invoice after your tenth, whichever comes first. The trigger is your use of the service, not the passage of time: there is no trial period, no expiry date, and no countdown. If you do not exhaust the allowance, you are not charged.
- Notice before the first payment. We will notify you by email, at the address on your account, before the first payment is taken. In addition, before you sign the first certificate that falls outside the free allowance, the app will ask you to confirm expressly that you agree to the subscription beginning. Until you give that confirmation, that certificate is not signed and no payment is taken.
- Renewal. Once the subscription has begun it renews monthly until you cancel. Subscriptions are billed through Stripe. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then.
- A billing period that has already started is non-refundable except where required by consumer law; if you believe a charge was made in error, contact us and we will put it right.
- We may change the subscription price with at least 30 days’ notice to the email address on your account. The new price applies from your first billing period after the notice expires; if you do not accept it, you can cancel before then.
- Foreman drafts documents for you to review and sign; it does not issue certificates. You remain the duty-holder responsible for every certificate you sign and issue (see section 2).
6. Acceptable use
You agree not to use Foreman to:
- Sign or issue any document Foreman has drafted without first reviewing it against the actual installation
- Draft documents for installations you have not personally inspected and tested
- Impersonate another person, business, or qualification
- Send abusive, threatening, or unlawful content through the service
- Bypass or attempt to bypass the acceptable-use rules of any third-party platform the service is built on (our AI, transcription, billing, and hosting providers)
- Reverse engineer, scrape, or attempt to access the service other than through the app
- Operate Foreman in any unlawful way
Breach of these rules may result in immediate suspension or termination of your account.
7. Your customers’ data
When you use Foreman you will typically share personal data about your customers — names, addresses, and installation details — inside the voice notes and photos you send. You are the data controller for that personal data; Foreman processes it as a data processor acting on your instructions to produce the draft documents you have requested.
What your instruction actually authorises. To produce a draft, we send the raw audio of your dictation to OpenAI for transcription, and the resulting transcript and photos to Anthropicto draft the certificate. Both process this in the United States, and neither uses it to train their models. That dictation usually contains a named person’s home address and the electrical faults in that home. By using Modyx you are instructing us, as your processor, to make that transfer. If you do not want a property address leaving the UK, do not speak it into the dictation — type it in afterwards. You warrant that you have a lawful basis (UK GDPR Art. 6) to share each customer’s data with Modyx for this purpose — typically your contract with the customer to carry out the electrical work. You are responsible for responding to your customers’ data subject requests. We will assist where reasonably necessary.

8. Third-party platforms
Foreman operates on top of several third-party services, including Anthropic (AI drafting), voice-transcription providers, Stripe (billing), and cloud hosting. Your use of Foreman is also subject to these providers’ acceptable-use policies and terms of service where relevant.
9. Service availability
We aim to keep Foreman available 24/7 but do not guarantee uninterrupted service. We may schedule maintenance windows or roll out updates that briefly interrupt the service. Upstream outages at our AI, transcription, billing, or hosting providers can disrupt functionality and are outside our control.
10. Intellectual property
The Foreman software, branding, and underlying intellectual property remain ours. Your data — your voice notes, photos, drafted documents, and account details — remains yours. You can request an export of your data at any time by emailing us.
11. Termination
You can close your account at any time by emailing hello@modyx.co. Your subscription will be handled in line with clause 5 above. We can suspend or terminate your account with reasonable notice, or immediately for breach of these terms or activity that puts other users or our suppliers at risk. On termination we will delete your data in line with our privacy policy.
12. Liability
12.1 Cap.To the extent permitted by law, our total aggregate liability to you for any and all claims arising out of or in connection with these terms or your use of Foreman — whether arising in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution, or otherwise — is limited to the greater of £100 or the total amounts you have paid us in the 12 months immediately before the event giving rise to the claim.
12.2 Excluded losses. Subject to clause 12.3, we are not liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, and whether the loss was foreseeable or not, for any of the following: any indirect, consequential, or special loss; any loss of profit, revenue, business, opportunity, goodwill, anticipated savings, contracts, or data; or any loss arising out of your failure to review, verify against the installation, amend, or sign a draft document produced by Foreman before it is issued. You acknowledge that Foreman uses artificial intelligence and that AI-generated content may contain errors; the obligation to review every draft before signing or issuing it lies entirely with you as the qualified duty-holder.
12.3 Liabilities we cannot exclude. Nothing in these terms limits or excludes any liability that cannot be limited or excluded under English law, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited.
12.4 No-warranty.Foreman is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, conditions, and representations of any kind, whether express or implied, including any implied warranty of satisfactory quality, fitness for a particular purpose, accuracy, completeness, or non-infringement. The service uses artificial intelligence and its outputs may contain errors; you remain responsible for reviewing every draft before signing or issuing it.
13. Indemnity
You agree to indemnify us against any claim arising out of your misuse of Foreman, your breach of these terms, or your breach of the rights of any third party (including your customers).
14. Changes to these terms
We may update these terms. Material changes will be notified to the email address on your account at least 30 days before they take effect. Continued use of Foreman after that date is acceptance of the new terms.
15. Force majeure
Neither party is liable for any failure or delay in performance caused by events outside its reasonable control, including but not limited to network outages, upstream API failures at our AI, transcription, billing, or hosting providers, internet failure, acts of God, war, terrorism, civil unrest, regulator action, or pandemic. The affected party will use reasonable efforts to resume performance and will notify the other promptly.
16. Severability
If any provision of these terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions remain in full force. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
17. No partnership or agency
Nothing in these terms creates a partnership, joint venture, agency, employment, or franchise relationship between the parties. Foreman is a software service. It produces draft documents under the tradesperson’s instructions — it does not inspect installations, exercise professional judgement on the tradesperson’s behalf, or hold itself out as a qualified electrician or certification body. The tradesperson remains the qualified professional responsible for every document they sign and issue.
18. Entire agreement
These Terms of Service, together with the Privacy Policy, constitute the entire agreement between the parties on the subject matter and supersede all prior representations, communications, and agreements (whether oral or written). Each party acknowledges that, in entering into these terms, it has not relied on any statement, representation, or warranty other than those expressly set out here. Nothing in this clause limits any liability for fraud or fraudulent misrepresentation.
19. Assignment
Foreman may assign or transfer these terms, or any rights or obligations under them, including in connection with a business sale, merger, restructure, or change of legal entity (e.g. incorporation as a limited company), and will notify the tradesperson of any such transfer. The tradesperson may not assign or transfer these terms or any rights under them without Foreman’s prior written consent (not to be unreasonably withheld).
20. Governing law
These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.
